The Senior Corporate Secretary will join the Corporate Secretary Italy team which is part of the Group Legal, Regulatory and Government Affairs Department. The position will be based in Milan and report to the Head of Corporate Secretary Italy.
The Senior Corporate Secretary will work closely with the Head of Corporate Secretary Italy on the day-to-day activities concerning corporate secretarial matters, as detailed below, ensuring the corporate governance compliance with the applicable rules and on the coordination of the secretarial activities across the various jurisdictions at group level.
The role requires balancing hands-on execution with smart thinking and strong organisational skills to help ensuring the continuous improvement of high quality processes within the Group.
Day-to-day activities refer to the management of the meetings of the various corporate bodies of the Italian legal entities belonging to the Euronext Group, including preparation of agendas and supporting documentation, convening meetings and drafting minutes, keep update the relevant Internal Corporate Registers and take care of the filings with the Italian Company Registry. In addition the Company Secretary department also takes care of the management of the regulatory obligations towards Supervisory Authorities concerning corporate bodies of the Italian regulated entities belonging to the Euronext Group (under MiFID II, EMIR, CSDR regulation and CONSOB and Bank of Italy implementing rules).
The Senior Corporate Secretary will also be required to support the Head of Corporate Secretary Italy in the management of extraordinary transactions from a corporate law/corporate secretary perspective and in drafting and reviewing internal group procedure on corporate matters.
The Senior Corporate Secretary will also be involved in managing some of the corporate law matters at the Euronext group level (i.e. outside Italy).

The compliance function shall contribute to ensure compliance of the Company with the applicable regulation and identify, assess and manage compliance risks, also in line with Group compliance requirements.
As The Chief Compliance Officer you will be responsible for maturing and developing a strong, business-oriented compliance function and framework. The overall goal of the Compliance function is that Euronext Securities Copenhagen and Norway have a mature and effective compliance function that constantly seeks to bring value to the business. This also includes developing and implementing the policies and procedures to ensure the company complies with requirements and standards imposed by external national or international regulations and practices, and in particular the core CSDR Regulation applicable to the core business.
We also ask of you the support to maturing Euronext Securities compliance by harmonising processes and reporting as well as contributing to Euronext Group compliance best practises and standards.
Organisational reference
You will report functionally to the Euronext Head of CSDs Compliance based in Milan and to the Chief Executive Officer of Euronext Securities Copenhagen and Norway in application of Euronext's matrix policy.
