PHYSICAL AND FINANCIAL SETTLEMENT
Public Acquisition Offer of TERNOR
Subsequent to the request of the Caixa Banco de Investimento, S.A., it is made public that INTERBOLSA - Sociedade Gestora de Sistemas de Liquidação e de Sistemas Centralizados de Valores Mobiliários, S.A. (hereinafter, INTERBOLSA) shall be to a physical and financial settlement of the operations carried out regarding the public acquisition offer of 260.030 ordinary shares book-entry and bearer, with a nominal value of 5,00 EUR each, representing 15,759% of the share capital of TERNOR - Sociedade de Exploração de Terminais, S.A..
The financial intermediary responsible for the rendering of the services of assistance and carrying out of the public acquisition offer is Caixa Banco de Investimento, S.A. (hereinafter, Caixa BI, S.A.).
For the physical and financial settlement of the operations carried out regarding the present public acquisition offer, Caixa BI, S.A. shall send INTERBOLSA, until 15h00m of 26th July, 2006, information including the following elements:
a) The amount of shares to charge for each financial intermediary;
b) The amount to credit for each financial intermediary.
Physical Settlement
The physical settlement of the operation shall be done on 31th July, 2006, in the day processing (11h00m), based on the data sent by the Caixa BI, S.A., and the Central shall charge the shares on the default accounts of the financial intermediaries and shall provisionally credit the shares on the default account of the Caixa BI, S.A., credit which only becomes effective after the respective financial settlement.
Financial Settlement
The financial settlement of the operation shall be done at 12h30m of 31th July, 2006, after the day processing of the general settlement system, together with the financial settlement resulting from such processing, by moving the accounts kept by the financial intermediaries at stake in the Bank of Portugal, to which INTERBOLSA shall provide all the necessary information for the effect.
INTERBOLSA shall provide the Caixa BI, S.A. and the other financial intermediaries at stake, on the morning of 31th July, 2006, the information necessary to the financial settlement of the operation.
